Rapid Link, Incorporated (RPID), a Delaware corporation, and its subsidiaries, have served as facilities-based, communication companies providing various forms of voice and data services to customers around the world. Because of the advanced technology, the networks and management expertise acquired in the acquisition of One Ring Networks and iBroadband during the fiscal year of 2008, the Company has expanded its offering to the “last mile” of our customer, thus they are in a position of “owning” the customer. The extensive hybrid fiber wireless (HFW) network acquired in these acquisitions allows Rapid Link to service its customers to access services without relying on the local exchange carrier (LEC). The Company’s strategy includes providing service via its own facilities to insure reliable delivery of its current and future services. Fixed wireless technology allows for swift and cost efficient deployment of high speed networks. The Company utilizes WiMAX and other carrier-grade equipment operating in microwave and millimeter-wave spectrum bands. Through organic growth and acquisitions in targeted areas, the Company believes it possesses a strategic advantage over carriers that do not provide their own network access. The Company believes that its strategy of “owning” the customer by providing the service directly to the customer, rather than utilizing the networks of others, is important to its success. This strategy insures that the Company can provide its bundled products and communication services without the threat of compromised service quality from underlying carriers, and at significant cost savings when compared with other technologies.
Rapid Link is a leading licensed WiMAX carrier, which is one of the fast growing, cost efficient Internet access tools. The Company doesn’t rely on any other network as it has its own licensed, developed technology. The Company has been successful in creating a wide customer base through various strategic deals and acquisitions. In the year 2008, The Company acquired One Ring Networks, Inc. (one of the largest hybrid fiber optic and fixed wireless networks in the United States), iBroadband Networks, Inc. and iBroadband of Texas, Inc., to complement its existing portfolio. The Company has 48 employees, and the majority of them have wide experience in the communication industry. Rapid Link had over 15,000 customers as of January 31, 2008.
Acquisitions This Year
In order to expand its services, Rapid Link has been actively involved in various mergers and acquisitions in 2008.
During the Fiscal 2Q08, Rapid Link acquired One Ring Networks, Inc., which operates one of the largest hybrid fiber optic and fixed wireless networks in the United States, and is one of the few carriers offering end-to-end communications and networking services, without reliance on third party providers. By using fixed wireless and fiber optic transport, The Company benefits through higher average revenue per customer. Typically, these customers are small to medium size businesses, enterprise clients, and carriers.
During 3Q08, Rapid Link acquired the assets and assumed partial liabilities of iBroadband Networks, Inc, and iBroadband of Texas Inc. Included in the asset base, among other assets, are several significant fixed wireless broadband customers, strategic deployment sites and equipment inventories in the Dallas, Texas area. Also included are several thousand retail customers in Athens, Texas. The acquisition will help The Company to expand its existing business efficiently and quickly without incurring any significant upfront cost required to build infrastructure and develop a market of this size.

Market Opportunity
It is less expensive to deploy WiMAX compared to any other broadband technology. On account of the rising demand for Internet and development of other technologies, WiMAX is considered to be among the strong contenders for the next new generation technology. Its development will be driven by cheap service cost, high speed and ease of access to the end user customers. According to Senza Fili Consulting, the number of Worldwide WiMAX subscribers is expected to reach 54 million in 2012 compared to 1.99 million in the first quarter of 2008. This forecast includes both 802.16e, and pre-802.16e subscribers, who use proprietary broadband and wireless access, and 802.16.2004 technologies. In mature markets, the major upside opportunity for WiMAX is expected to be in the area of mobile personal broadband services, with fixed and portable services gaining moderate early market traction.

Contract with Cobb County School District
Rapid Link has entered into a three year contract to provide Internet access to the Cobb County School District in Georgia. The Cobb County School District is the second largest school district in the State of Georgia, with over 15,000 employees, 115 schools, and approximately 107,000 students. Upon completion of this contract, the Cobb County School District would able to enjoy six times faster Internet access ranging from 155Mbps to 1Gbps. Through this deal, Rapid Link would be able to acquire a substantial subscriber base in Georgia. Moreover, this also reveals a clear picture of The Company’s potential service efficiency.
Growth through acquisitions
Rapid Link recognizes that it is a smaller player in the communications industry. To be successful it must operate on a much larger scale. In the year 2007 and 2008, The Company acquired various communication providing companies like Communications Advantage, LLC, Web-Breeze Networks, LLC, One Ring Networks, Inc., iBroadband Networks, Inc, and iBroadband of Texas Inc. John A. Jenkins, Chairman
– In 2004, Mr. Jenkins assumed the position of Chairman and CEO of the company.
– From 1994 to 2003, Mr. Jenkins held various executive positions in the telecommunications industry for ICN/Commsource, a buying and leasing company of oceanic fiber optics cable, Golden Line Technologies, and Justice Technology, an international long-distance carrier.
– Holds degrees in Physics & Business/Economics from UCLA.
Chris Canfield, CEO, Director
Mr. Canfield serves as Chief Financial Officer and President of Rapid Link. He has an experience more than 15 years working in the telecommunications industry. Prior to Joining Rapid Link, Mr. Canfield served as the President and CEO of Telenational Communications, Inc. Telenational was ultimately acquired by Rapid Link in May 2006.Mr. Canfield founded two companies, Intercontinental Exchange, Inc. (ICX), an FCC licensed 214 carrier that primarily served the telecommunications needs for over 10,000 US Military personnel overseas and Resource Communications, Inc. ICX was profitable and eventually acquired by a major public telecommunications company in 1998. Resource Communications was primarily an agent channel company which provided telecommunications management services for business and enterprise customers. Mr. Canfield grew Resource from inception to total customer revenues of over $20 million annually. Mr. Canfield holds BS in Marketing and Business Administration at California State University in 1979.
Michael McGuane, CFO
Mr. McGuane is a Certified Public Accountant and has over 20 years of finance and accounting experience. He has worked for some of the world’s top accounting firms and publicly traded companies. Mr. McGuane began his business career in 1986 with the international accounting firm of KPMG Peat Marwick and continued in public accounting through 1995 with Deloitte Touche, LLP. Prior to joining Rapid Link, Mr. McGuane held top financial positions with Dole Foods Company, Aquila Energy Corporation, and Mutual of Omaha Insurance Companies. Mr. McGuane holds an Executive MBA and BSBA from the University of Nebraska and is also a published author in the field of Corporate Governance.
Mike Prachar, COO
Mr. Prachar has been involved in the telecommunications industry since 1992 and has extensive experience in virtually all functions, including sales, marketing, general management, information technology, and equipment deployment. In 1997, while working for Intercontinental Exchange (ICX), Mr. Prachar pioneered and personally installed a dedicated voice connection between Japan and California using innovative packetized compression technology which matches conceptually with now popular VoIP systems. The resulting calling product enabled customers in Japan to call anywhere in the world for less than 50% of PTT (Postal Telephone and Telegraph) rates. Mr. Prachar oversees all of the operations of The Company from billing and customer service to vendor and carrier relationships.
Matt Liotta, CTO
Mr. Liotta is the lead technologist behind the company’s next-generation network. Mr. Liotta joined Rapid Link in 2008 with the acquisition of One Ring Networks, a company he founded in 2004. Mr. Liotta guided the hybrid fiber and fixed wireless carrier to become one of the leading alternative access providers in the country. Before founding One Ring, Mr. Liotta lead Montara Software, a content management and portal software company, which was purchased by private investors. Prior to that he was the portal engineering manager for DevX, which was acquired by Jupiter Media.
